Health4Travel Medical Provider Partnership Agreement

The terms under which medical providers join the Health4Travel network and receive international patients via the platform and our partners.

1. Parties

This Medical Provider Partnership Agreement (the "Agreement") is entered into between:

  • Health4Travel Oy, a company registered in Finland (the "Platform" or "Health4Travel"); and
  • The medical provider identified in the registration form submitted via the Health4Travel platform (the "Provider").

Health4Travel and the Provider are individually a "Party" and collectively the "Parties".

2. Purpose

The purpose of this Agreement is to set out the terms under which the Provider lists its medical services on the Health4Travel platform and receives international patients referred via Health4Travel or its partners, including travellers, insurers, third-party administrators (TPAs) and assistance companies.

3. Services provided by Health4Travel

Health4Travel will:

  • List the Provider's services, location and availability on its platform.
  • Facilitate bookings from international patients and from partner networks (insurers, TPAs, assistance companies).
  • Collect payment from the patient upfront where applicable and forward the Provider's fee per the agreed payout process.
  • Provide access to the Health4Travel Partner Portal for managing bookings and relevant information.
  • Offer onboarding support and reasonable operational assistance.

4. Provider obligations

The Provider agrees to:

  • Hold and maintain all licences, registrations, insurances and professional qualifications required by law to deliver the listed medical services.
  • Provide accurate information about its clinic, staff, services and pricing.
  • Honour bookings made through Health4Travel and deliver services with appropriate professional standards of care.
  • Maintain its availability and pricing in the Partner Portal and update them in a timely manner.
  • Comply with all applicable laws, including medical, consumer protection and data protection regulations.
  • Treat patients referred via Health4Travel without discrimination based on nationality, religion, gender or insurance status (subject to clinically reasonable limits).

5. Fees and payment

  • No platform fees for Providers. Health4Travel does not charge listing or subscription fees to the Provider.
  • Provider fee. The Provider sets its own medical fees for the services listed on the platform.
  • Service fee. Health4Travel adds its own service fee on top of the Provider's fee, charged to the patient at the time of booking.
  • Payout. The Provider receives its agreed fee after the visit has been completed, in accordance with the payout process and schedule communicated by Health4Travel.
  • Taxes. Each Party is responsible for its own taxes, including VAT where applicable.

6. Cancellations and no-shows

Cancellation, rescheduling and no-show conditions are governed by the cancellation policy published on the Health4Travel platform and, where applicable, communicated to the Provider in writing during onboarding.

7. Data protection and confidentiality

Both Parties process patient personal data in accordance with the EU General Data Protection Regulation (GDPR) and other applicable data protection laws.

  • Health4Travel acts as data controller for the booking and platform data it collects.
  • The Provider acts as data controller for the medical records it creates as part of treatment.
  • The Parties will take reasonable technical and organisational measures to protect patient data and keep confidential information confidential.

8. Liability

  • The Provider is solely responsible for the medical services it delivers, including diagnosis, treatment and follow-up.
  • Health4Travel is a technology and marketing platform and does not provide medical services. Health4Travel is not liable for the medical outcome of any treatment.
  • Except for cases of wilful misconduct or gross negligence, each Party's liability under this Agreement is limited to direct damages and capped at the fees paid out under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

9. Term and termination

  • This Agreement enters into force when the Provider's application is approved by Health4Travel and continues until terminated.
  • Either Party may terminate this Agreement for convenience with thirty (30) days' prior written notice.
  • Either Party may terminate this Agreement with immediate effect for material breach which is not cured within fourteen (14) days of written notice.
  • Health4Travel may suspend the Provider's listing in case of safety, legal or quality concerns.

10. Non-exclusivity

This Agreement is non-exclusive. The Provider remains free to receive patients through other channels and Health4Travel remains free to work with other providers.

11. Marketing and brand use

The Provider grants Health4Travel the right to use the Provider's name, logo and basic information to list and promote the Provider on the Health4Travel platform and related marketing channels. The Provider may request reasonable changes to how it is presented.

12. Governing law and disputes

This Agreement is governed by the laws of Finland. The Parties will first attempt to resolve any dispute amicably. If that fails, the dispute will be submitted to the competent courts of Helsinki, Finland, unless mandatory law requires another venue.

13. Acceptance

By submitting the Health4Travel provider application and ticking the acceptance box, the Provider confirms that it has read, understood and accepts this Agreement.

The full operational terms (services, pricing, availability, calendar connection and payout details) will be agreed and configured together during onboarding.
